5 September 2019 - 外商投資法新規解讀

廣東廣信君達律師事務所合夥人謝捷介紹了《中華人民共和國外商投資法》推出的背景,以及“一帶一路” 、自貿區制度、大灣區綱要的深入推進及促進和保護外商投資並與國際投資制度接軌。除此之外,她也介紹了《中華人民共和國外商投資法》對外商投資的影響。

22 July 2019  - “Cyber Security and Its Impact of Law Firms and Businesses” – CPD course

Ms Karen Lieu, Managing Director of Ed Broking Hong Kong, delivered a talk on this critical issue for law firms and businesses. Karen spoke about the latest trends, risks relating cyber-hacking and privacy breaches, as well as the source, impact, cost  and insurance solutions related to cyber breaches. Attendees were made aware of recent data breach incidents and their serious consequences on businesses and individuals.

27 May 2019 - Mergers and Acquisitions in a Nutshell

Ms Julianne Doe, Partner of Dentons Hong Kong LLP introduced the reasons, the preparation, due diligence procedures and confidentiality issues regarding acquisitions. She also discussed the Takeovers Code, its interaction with the Listing Rules and the Securities and Futures Ordinance. 

29 April 2019 - Internal control reviews and risk management issues 

Ms Loretta Lee, Director of Wall Corporate Advisory Limited, introduced the importance of internal control reviews, the recent changes made to it, as well as the procedural issues regarding ICR, risk management and corporate governance.

6 March 2019 - HK Public Takeovers - Case Studies (1)

Benita Yu, Partner of Slaughter and May, gave attendees an overview and introduction of recent takeovers in Hong Kong, in the context of structuring, property valuations and other special aspects. Case studies include, the COSCO Shipping and SPIG/OOIL pre-conditional voluntary general offer, the proposed scheme of arrangement/privatisation of Guoco Group Limited by Guoline Overseas Limited, and the merger by absorption/privatisation of China National Materials Company Limited (CNBM) by Sinoma. She also gave an introduction to the recent key changes made to the Takeovers Code.
